Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the website design, development, and related services ("Services") provided by Cornerstone Digital ("we," "us," or "our"). By engaging our Services, you ("Client" or "you") agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

2. Services Description

We provide the following Services to contractors and trade professionals:

• Custom website design and development
• Search engine optimization (SEO) services
• Website hosting and maintenance
• Brand and visual identity design
• Lead tracking and analytics setup
• Website content creation and copywriting

The specific scope of Services will be detailed in a written proposal or statement of work agreed upon by both parties before work begins.

3. Our Lead Growth Guarantee

We guarantee that your qualified leads will increase within six (6) months of your website launch date. "Qualified leads" refers to contact form submissions, phone calls, and booking requests originating from your website as tracked by our analytics systems. If this guarantee is not met, you are entitled to twelve (12) months of complimentary website hosting and maintenance.

Conditions: The guarantee requires that (a) the website remains live and unchanged in its core structure, (b) the client maintains an active Google Business Profile, (c) the client provides any requested business information or updates within 7 days of our request, and (d) the client does not engage in conflicting SEO or web development activities with another provider during the guarantee period.

4. Payments and Fees

Unless otherwise stated in your proposal:

• A non-refundable deposit of 50% is required before work begins.
• The remaining balance is due upon project completion and before the website goes live.
• Monthly hosting and maintenance fees are billed in advance and are non-refundable for the billing period.
• Late payments may incur a fee of 1.5% per month on the outstanding balance.

5. Intellectual Property

Upon full payment, you own the final website design and content created specifically for your business. We retain ownership of any proprietary frameworks, code libraries, templates, and systems used across multiple clients. You grant us a perpetual license to display your completed website in our portfolio and marketing materials.

6. Client Responsibilities

You agree to:

• Provide accurate and complete business information, photos, and content in a timely manner.
• Review and approve designs and content within the agreed timeframes.
• Maintain access to your domain registrar and provide necessary credentials for website deployment.
• Not use our Services for any illegal, fraudulent, or harmful purpose.

7. Revisions and Changes

Each project includes a reasonable number of revision rounds as specified in the proposal. Additional revisions, out-of-scope work, or major redesigns after approval may incur additional charges at our standard hourly rate. We reserve the right to charge for work caused by client delays exceeding 30 days.

8. Limitation of Liability

To the maximum extent permitted by law, Cornerstone Digital's total liability for any claim arising from these Terms or our Services shall not exceed the total amount paid by you for the Services in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption.

9. Termination

Either party may terminate the Services with 30 days' written notice. Upon termination, all outstanding fees for work completed become immediately due. If you terminate before launch, the deposit is forfeited. We will provide you with any completed work files in standard formats upon request.

10. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved through binding arbitration in Delaware.

11. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be posted on our website with a revised "Last updated" date. Continued use of our Services after changes constitutes acceptance of the new Terms.
